By accessing the iCodeBrands website,
submitting an enquiry, approving a quotation
or engaging us to provide services, you agree
to these Terms & Conditions together with any
additional written terms provided in a
quotation, proposal, agreement or invoice.
If specific terms contained in an approved
project agreement differ from these general
Terms & Conditions, the specific written
project terms will apply to that project.

Project Scope & Quotations
The scope of each project will normally be
defined through a quotation, proposal,
project brief, invoice or other written
communication agreed between iCodeBrands
and the client.
The agreed scope may include deliverables,
features, design requirements, quantities,
timelines, fees, payment stages and revision
allowances.
IMPORTANT
Work requested outside the agreed project
scope may require additional fees and
additional delivery time.
04
Fees & Payments
Project fees and payment arrangements will
be communicated through the relevant
quotation, invoice, agreement or project
communication.
Depending on the project, payment may be
requested in full, as an advance payment,
or through agreed payment stages or
installments.
01
Work may begin after any required
advance payment has been received.
02
Milestone payments may be required
before later project stages begin.
03
Final files or completed deliverables
may be released after applicable
outstanding payments are settled.
04
Additional work outside the agreed
scope may be quoted separately.
05
Client Responsibilities
Clients are responsible for providing the
information, materials, approvals and access
reasonably required for us to complete the
agreed work.
01
Provide accurate project requirements.
02
Provide required text, images,
branding assets and information.
03
Provide feedback and approvals within
a reasonable time.
04
Ensure supplied materials can lawfully
be used for the project.
06
Revisions & Project Changes
Revision allowances may differ depending on
the service or project package and will be
communicated where applicable.
A revision generally means a reasonable
adjustment to existing agreed work.
A significant change in direction, new
features, additional deliverables or a new
concept may be treated as additional work.
Additional charges may apply where requested
changes extend beyond the agreed project
scope.
07
Project Timelines
Any delivery date or estimated timeline
communicated for a project is based on the
agreed scope and the information available
when the estimate is provided.
Timelines may be affected by changes in
project requirements, delayed feedback,
delayed approvals, missing content,
third-party services or circumstances
reasonably outside our control.
Where a material delay occurs, we will
communicate an updated timeline where
reasonably possible.
08
Intellectual Property
Ownership and usage rights for final project
deliverables will depend on the specific
service and any written terms agreed for
the project.
Unless otherwise agreed, rights in approved
final deliverables intended for the client
may be transferred or licensed after all
amounts due for the relevant work have been
paid.
Pre-existing materials, reusable tools,
frameworks, templates, processes, methods,
know-how and third-party materials remain
subject to their existing ownership or
licence arrangements.
Where appropriate and unless confidentiality
requirements or another written agreement
prevent it, iCodeBrands may display completed
work as part of its portfolio or promotional
materials.
09
Third-Party Services
Certain projects may depend on third-party
products or services such as hosting,
domains, plugins, APIs, payment gateways,
software platforms, advertising services,
fonts, stock assets or external platforms.
Third-party services are generally governed
by the terms, pricing, availability,
licensing and policies of their respective
providers.
Changes made by third-party providers may
affect integrations, functionality,
availability or ongoing costs.
10
Cancellation & Refunds
If a project is cancelled after work has
started, amounts relating to completed work,
committed resources, approved stages or
non-recoverable third-party costs may remain
payable.
Any refund eligibility will depend on the
circumstances of the project, the amount of
work already completed, agreed project terms
and applicable law.
Where a project-specific cancellation or
refund policy is included in a quotation,
proposal or agreement, that policy will
apply to the relevant project.
11
Confidentiality
Where either party receives confidential
business, technical or commercial information
in connection with a project, each party
should take reasonable steps to protect that
information from unauthorized disclosure.
Confidentiality obligations may also be
governed by a separate non-disclosure
agreement where one has been entered into.
12

You must not intentionally misuse the website,

Disclaimer
We aim to provide professional services
based on the agreed project scope and
requirements.
However, unless specifically agreed in
writing, we do not guarantee particular
commercial results such as revenue, sales,
search engine rankings, social media reach,
advertising performance or other outcomes
that may depend on external factors.
Nothing in these terms excludes rights or

14
Limitation of Liability
To the extent permitted by applicable law,
each party's liability in connection with
a project will be subject to any limitations
contained in the relevant project agreement
and applicable legal requirements.
iCodeBrands is not responsible for losses
caused solely by third-party outages,
third-party platform changes, unauthorized
changes made by others, incorrect information
supplied by the client or circumstances
reasonably outside our control.
15
Suspension or Termination
A project or service may be suspended or
terminated where required payments remain
outstanding, where required cooperation is
not provided, where the project is being used
for unlawful purposes or where continuing
the engagement would otherwise be
unreasonable.
Where reasonably possible, the relevant
client will be informed before suspension
or termination.

We may update these Terms & Conditions when
our services, business practices or website
change.
The latest version will be published on
this page together with an updated revision
date where appropriate.
Project-specific terms already agreed in
writing will continue to apply in accordance
with those agreements.
